Terms of Service

These Terms of Service (“Terms”) are an agreement between you or the organization you represent (“Customer,” “you,” or “your”) and Exeqra (“Exeqra,” “we,” “us,” or “our”). They govern use of our website, applications, and related services (the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms. If you use the Services for an organization, you confirm that you have authority to bind that organization. If you do not agree, do not use the Services.

An order form, subscription plan, or separate written agreement may supplement these Terms. If there is a conflict, the written agreement or order form controls to the extent of the conflict.

Exeqra helps organizations create and manage workflows, tasks, forms, requests, documents, approvals, and business communications. The Services may connect internal teams and external participants, automate repetitive steps, send notifications, integrate third-party systems, and offer optional AI-assisted functions.

We may update, improve, or discontinue features from time to time. We will not materially reduce the core functionality of a paid plan during its current paid term without reasonable notice, except where necessary for security, legal compliance, or third-party requirements.

You must provide accurate account information and keep it current. You are responsible for the activities of users and invited participants in your workspace, for selecting appropriate access controls, and for safeguarding credentials. Do not share passwords or access tokens. Notify us promptly of suspected unauthorized access.

Workspace administrators may add, remove, and manage users and content. They are responsible for obtaining the authority needed to do so and for managing access when a user’s role changes or ends.

You retain ownership of the content you or your users submit to the Services, including workflows, forms, files, documents, messages, and records (“Customer Content”). You grant Exeqra a limited, worldwide right to host, copy, transmit, process, display, and modify Customer Content only as necessary to provide, secure, and support the Services and as directed through their normal use.

You represent that you have all rights, notices, permissions, and lawful bases needed to submit Customer Content and to allow us to process it under these Terms. You are responsible for the accuracy, quality, and legality of Customer Content, the means by which it was obtained, and decisions made using it.

You and your users must use the Services lawfully and must not:

• upload, transmit, or make available unlawful, fraudulent, infringing, defamatory, harmful, or otherwise prohibited content;
• use the Services to violate privacy, data-protection, consumer-protection, anti-spam, employment, export-control, or other laws;
• circumvent security, probe or disrupt the Services, introduce malware, scrape without permission, or attempt unauthorized access;
• use the Services to send unsolicited, deceptive, abusive, or unlawful communications;
• resell, lease, or provide access to the Services except as expressly permitted; or
• reverse engineer, copy, or create competing services from the Services except where law expressly permits it.

You are responsible for training your users, protecting credentials, obtaining necessary permissions, and complying with third-party terms applicable to integrations you enable.

Where you connect WhatsApp Business Platform or another messaging provider, you expressly authorize Exeqra to send, receive, route, store, and display messages and associated data on your behalf to provide the Services. You remain the sender or business responsible for the communications and for your relationship with recipients.

You must obtain required notices and opt-ins, honor opt-outs, use approved templates where required, maintain accurate contact records, and comply with all applicable laws and the then-current Meta/WhatsApp and other provider terms and policies. We may suspend messaging functionality if we reasonably believe it risks harm, policy violations, or provider action. Exeqra is not responsible for provider decisions, delivery failures, account restrictions, fees, or outages outside our reasonable control.

AI features may summarize, extract, draft, search, classify, or assist with workflows. Use of these features is optional. When enabled or used, relevant Customer Content and prompts may be processed only to provide the requested AI function and maintain its safety and reliability.

AI output can be inaccurate, incomplete, or unsuitable. You are responsible for reviewing and validating output before using or sharing it. Do not treat AI output as legal, financial, medical, employment, or other professional advice. You must not use AI features in a way that violates law, infringes rights, or causes unlawful discrimination.

The Services may interoperate with third-party services, including cloud hosting, email delivery, payment processors, messaging providers, AI providers, analytics providers, object storage, databases, and integrations selected by you. Their services are governed by their own terms and privacy policies. We are not responsible for third-party services, their availability, content, security, or acts and omissions. Enabling an integration authorizes us to exchange data as needed for the integration to work.

Paid Services are billed according to the applicable plan or order form. You agree to pay all fees when due and authorize us or our payment provider to charge your payment method. Fees are non-refundable except where required by law or expressly stated otherwise. You are responsible for applicable taxes, duties, and levies, excluding taxes based on Exeqra’s net income.

We may change fees for a renewal term by giving advance notice. If payment is overdue, we may suspend or terminate access after reasonable notice. You must keep billing and payment information accurate.

We use reasonable measures designed to protect the Services and Customer Content, including encryption in transit, access controls, authentication, logging, monitoring, backups, and incident-response processes. No system is completely secure. Our Privacy Policy explains how we process personal data and is incorporated into these Terms. Where we process personal data on your behalf, you are responsible for meeting your controller obligations and may contact us regarding an appropriate data-processing agreement.

Exeqra and its licensors retain all rights in the Services, software, documentation, designs, trademarks, and related materials. Subject to these Terms and timely payment of fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during your subscription term to use the Services for your internal business purposes.

If you provide suggestions, ideas, or feedback, you grant us the right to use them without restriction or compensation, provided we do not identify you as the source without permission.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXEQRA DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT GUARANTEE THAT THE SERVICES WILL MEET EVERY REQUIREMENT, BE AVAILABLE AT ALL TIMES, OR PREVENT ALL LOSS OR SECURITY INCIDENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

EXEQRA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO EXEQRA FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. These limits do not apply to liability that cannot be limited by law.

You will defend, indemnify, and hold harmless Exeqra and its affiliates, personnel, and licensors from claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your or your users’ Customer Content, use of the Services in breach of these Terms, communications sent through your connected accounts, or violation of law or third-party rights. We will notify you promptly of a claim and allow you reasonable control of the defense, provided you may not settle a claim in a way that imposes liability or obligations on us without our written consent.

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay fees, create a security or legal risk, or if required by a provider or law. Where reasonable, we will give notice and an opportunity to address the issue.

On termination, your right to use the Services ends. You should export Customer Content before termination. We will handle retained data in accordance with our Privacy Policy and legal obligations. Sections that by their nature should survive—including payment obligations, intellectual property, disclaimers, liability limits, indemnity, and general terms—will survive.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. The courts having jurisdiction over Exeqra’s registered office will have exclusive jurisdiction, except where applicable law requires otherwise. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, restructuring, or sale of assets. Neither party is liable for delays caused by events beyond reasonable control.

We may update these Terms from time to time. We will post the revised Terms here, update the “Last updated” date, and provide additional notice for material changes when appropriate. Continued use after the effective date means you accept the revised Terms. These Terms are the complete agreement regarding the Services unless a written agreement states otherwise. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
